Terms of Service

These Terms of Service ("Terms") govern your access to and use of Nudge ("Nudge," "we," "us," or "our"), including our website, applications, and coaching-related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.

Important: Nudge provides coaching and related support. Coaching is not therapy, counseling, or medical care and is not a substitute for professional mental health or medical treatment. If you are in crisis, contact local emergency services or a crisis hotline.

1. Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Services. By registering, you represent that you meet this requirement and that the information you provide is accurate.

2. Accounts

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.

3. The Services

Nudge connects you with independent coaches for sessions and related communications. Coaches are not employees or agents of Nudge solely by virtue of using the platform unless expressly stated in writing. We may modify, suspend, or discontinue features of the Services where reasonably necessary for security, compliance, or operations.

4. Payments and scheduling

Fees, refunds, and cancellation rules for paid sessions are presented at the time of booking or checkout and may be updated prospectively. You authorize us and our payment partners to charge your selected payment method for amounts you agree to at purchase.

5. Acceptable use

You agree not to:

• Violate applicable law or infringe others' rights
• Harass, abuse, threaten, or harm coaches, members, or staff
• Attempt to access accounts or data you are not authorized to use
• Interfere with or disrupt the Services or security measures
• Use the Services to transmit malware or unsolicited bulk messages

6. Content and intellectual property

Nudge and its licensors own the Services, branding, and platform content, subject to your content you submit. You grant Nudge a limited license to host, process, and display your content as needed to operate the Services.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE SPECIFIC OUTCOMES FROM COACHING.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUDGE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO NUDGE FOR THE SERVICES IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE PROHIBITED BY LAW.

9. Indemnity

You will defend and indemnify Nudge and its affiliates, officers, and employees against claims arising from your misuse of the Services, your content, or your violation of these Terms, subject to applicable law.

10. Termination

You may stop using the Services at any time. We may suspend or terminate access for conduct that violates these Terms, creates risk, or is required by law. Provisions that by their nature should survive will survive termination.

11. Changes

We may update these Terms from time to time. We will post the revised Terms with an updated effective date and, where required, provide additional notice. Continued use after changes become effective constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless a different governing law is required where you reside.
